By creating an account or using Forwardly ("the Service", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users of the platform.
2. Description of Service
Forwardly is a tool that allows users to send messages to WhatsApp groups they are a member of, using their own personal WhatsApp account connected via QR code. We do not operate or own any WhatsApp accounts. We provide software infrastructure only.
3. WhatsApp Compliance — Important
Forwardly is an independent third-party tool and is not affiliated with, endorsed by, or partnered with WhatsApp, Meta Platforms, or any of their subsidiaries.
By using this Service, you acknowledge and agree that:
- You are solely responsible for ensuring your use of WhatsApp through our platform complies with WhatsApp's Terms of Service.
- Sending unsolicited bulk messages, spam, or messages to people who have not consented to receive them may violate WhatsApp's policies and applicable laws.
- WhatsApp may ban, restrict, or suspend your account at any time at their sole discretion, including as a result of bulk messaging activity.
- Forwardly is not liable for any WhatsApp account suspension, ban, restriction, or any loss of access to WhatsApp resulting from your use of the Service.
- You use this Service entirely at your own risk with respect to your WhatsApp account status.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You must not use the Service to:
- Send spam, unsolicited messages, or messages to people who have not consented to receive them
- Send messages that are illegal, fraudulent, defamatory, hateful, or harassing
- Violate any applicable local, national, or international law or regulation
- Engage in phishing, scamming, or any form of deceptive messaging
- Distribute malware, viruses, or malicious content
- Infringe upon the intellectual property rights of any third party
- Attempt to circumvent, disable, or interfere with the security features of the Service
- Resell or sublicense access to the Service without our written consent
We reserve the right to terminate accounts that violate these terms without notice or refund.
5. User Responsibilities
You are solely responsible for:
- All content you send through the Service
- Obtaining any necessary consents from recipients before sending messages
- Ensuring your use complies with applicable anti-spam laws (including but not limited to the UK PECR, EU ePrivacy Directive, and CAN-SPAM Act)
- Maintaining the security of your account credentials
- Any actions taken under your account
6. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Service is provided "as is" without warranties of any kind, express or implied
- We do not guarantee uninterrupted, error-free, or secure access to the Service
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- We are not responsible for any third-party actions, including actions taken by WhatsApp against your account
- Our total liability to you for any claim arising from these terms or the Service shall not exceed the amount you paid us in the three months preceding the claim
7. Account Termination
We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms of Service, engaged in fraudulent activity, or if required by law. You may terminate your account at any time by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.
8. Payments and Refunds
Subscription fees are charged in advance and are non-refundable except where required by applicable law. We reserve the right to change pricing with 30 days' notice. If you cancel, you retain access until the end of your billing period.
9. Intellectual Property
The Service and its original content, features, and functionality are owned by Forwardly and are protected by intellectual property laws. You retain ownership of any content you create and send through the Service.
10. Changes to Terms
We may update these terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes constitutes acceptance of the new terms.
11. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
